03:18Union Home Minister Amit Shah has finally broken his silence over the parliament logjam caused by the student protests on
03:26July 20th and allegations that pellet guns had been fired on them.
03:31The Home Minister claimed he is ready for any debate on neat paper leaks and the student protests
03:37and challenged the opposition to take part in it.
03:40Leader of the opposition Rahul Gandhi rejected the offer,
03:44saying all the youth wanted to know is who ordered the crackdown on protesters in Delhi on July 20th
03:50and Shah must resign.

05:37He added that in a democracy, solutions emerge only through discussion and dialogue.
05:44But leader of opposition Rahul Gandhi dismissed the offer.
05:48We're not interested in him giving us a lecture or a discussion.

32:18the tamil nadu government today passed an anti-delimitation resolution with the resolution
32:25saying that they would like women's reservation within the existing 543 member parliament and no
32:32increase in the number of seats the dmk which was really the key party here supported the government's
32:39resolution but has put in certain terms and conditions that suggest that at a future date
32:45they may well accept the center's attempt to renew its delimitation effort take a look at this story
32:54the tamil nadu assembly passes a resolution on delimitation the resolution was passed on three
33:14major points it says the 543 loksaba seats must remain fixed there should be no change in the state-wise
33:23allocation of loksaba seats and 33 percent women's reservation should be provided in state assemblies

35:29where a major leadership transition is taking place in one of India's biggest and iconic business houses.
35:35After nearly a decade at the helm of Tata Sons, N. Chandrasekharan suddenly announced that he is stepping down as
35:41chairman
35:42when his current term ends in February 2027.
35:45It has put the spotlight on what led Chandrasekharan, who was to have a five-year term,
35:51suddenly to decide that he is opting out.
35:54And also, who succeeds him?
35:57And what does the change mean for the Tata empire, whose stocks fell today?
36:02Business Today now reports.
36:04I've been very proud of being proud of the Tata company.
36:16After four decades with the Tata group, N. Chandrasekharan's Tata innings is now getting over.
36:21N. Chandrasekharan is set to step down as Tata's son's chairman after completing his current term.
36:29Chandrasekharan has decided not to seek reappointment after his term ends on February 20, 2027.
36:36The move sets the stage for a leadership transition at the top of the Tata group,
36:41with the succession process expected to begin soon.
36:44Tata stocks are also likely to remain in focus as investors assess the implications of the leadership change.
36:52In his statement, Chandrasekharan said he would not seek another term
36:56and asked the board to decide on his successor at the earliest.
37:00He said the move was aimed at ensuring a smooth and proper leadership transition.
37:04The decision comes after the board failed to reach a resolution on his appointment
37:09nearly six months after its February 24 meeting.
37:13The reappointment proposal did not have unanimous support
37:16with one board member withholding support.
37:20Chandrasekharan's exit comes at a critical juncture for Tata sons and the wider Tata group.
37:25The next chairman will have several key challenges on the table.
37:29These include turning around loss-making Air India,
37:32reducing losses in the group's digital businesses
37:35and navigating the potential listing of Tata sons.
37:39The group will also have to address the regulatory requirement
37:42around upper-layer NBFC deregistration.
37:48Chandrasekharan's Tata journey spans four decades.
37:51He joined TCS as an engineer in 1987
37:54and rose to become its CEO and MD in 2009.
37:58He joined the Tata sons board in 2016
38:01and took charge as chairman in 2017.
38:04Under his leadership, the Tata group returned to aviation
38:07with the acquisition of Air India in 2022.
38:10His current term as Tata sons chairman ends on February 20, 2027,
38:15marking the end of a decade at the helm of the group.
38:19The next chapter now rests with the successor
38:21and the challenges waiting at the top of Tata sons.
38:32And joining us now to understand the implications of this
38:36is former chief ethics officer and brand custodian at Tata sons,
38:40someone who's also spent a very long time there.
38:42Mukund Rajan, good to have you on the show.
38:44Are you surprised, shocked by the decision of N. Chandrasekharan
38:47to suddenly announce his decision to leave the Tata group
38:51after so many, after 40 years in it?
38:57I am certainly very surprised.
38:59And I'm equally surprised that at least till this point of time
39:03in the evening, we seem to have only one perspective
39:07on what has happened.
39:09I think we're all anxiously awaiting the response
39:11both from the Tata sons board, the rest of the board,
39:15as well as the principal shareholder,
39:17which is the Tata trusts,
39:18who control two thirds of the shareholding of Tata sons.
39:22And I think statements from them
39:23will be very important in this situation.
39:26The reason I'm asking you this also is,
39:29you're right, we haven't yet heard from the Tata trust
39:32and in particular from Noel Tata, the Tata trust chairman.
39:36So we don't know exactly the nature of circumstances
39:38that is leading to Chandrasekharan's exit.
39:40But do you believe there was this friction
39:43that was being talked about
39:44between Mr. Chandrasekharan and Noel Tata
39:47that has contributed mainly to this decision?
39:52Well, clearly there seems to have been differences.
39:55And I think the very fact that the incumbent
39:58has chosen to mention that there was not unanimity
40:02at the board from the time of the previous board meetings
40:06suggests that there was some kind of discord
40:11or at least a failure to achieve consensus.
40:15So clearly there have been differences.
40:18Some people have questioned
40:19whether these were differences of personality.
40:22Others have suggested there were differences
40:24around strategy and performance.
40:26My own sense, it would be a combination of all of these.
40:29And therefore, it's very important to understand,
40:32you know, where the other stakeholders are coming out
40:35on this and what is their perspective
40:38on what has taken place today.
40:41But, Mukund, what does it say about Tata Sons itself?
40:45One of India's iconic companies.
40:47Is something fundamentally going wrong at the very top
40:50when it comes to governance or strategic vision
40:53that a chairperson should resign in this abrupt manner?
40:56What message is this sending out?
41:01Well, clearly it appears there's been a failure
41:04to achieve consensus at the board.
41:06And if, as seems to be getting suggested,
41:09the principal shareholder was not aligned
41:12with some of the thinking on strategy,
41:14that is a fundamental problem.
41:17You cannot have companies being run
41:19where the majority shareholder is either feeling ignored
41:21or is not aligned with the way in which the company
41:25needs to be run going forward.
41:27So, at a minimum, I think the board also has a lot to answer
41:31in terms of what efforts were made to achieve consensus.
41:34And quite importantly, what was the preparedness
41:37to face the kind of situation we've encountered today?
41:40Is there a succession plan?
41:42Have there been thoughts about who could potentially take over?
41:45Will there be a new scheme?
41:46In the past, we've heard that potentially
41:48the chairman's role may be split
41:50and there could be a non-executive chairman
41:53and a managing director come CEO.
41:54So, what is the outlook on all of this?
41:57And I think Tata's are too large an organization
41:59for markets, stakeholders, shareholders, employees
42:02to be caught by surprise.
42:03So, I think it's very important that,
42:05if not today itself, certainly in the next 24 hours,
42:09we hear about how the succession is now going to be planned.
42:14You know, I just want to also understand,
42:16there's been a lot of talk that one of the key issues
42:19was a commitment being sought from Mr. Chandrasekharan
42:21that Tata Sons would never be listed.
42:24He was not willing to give such a commitment.
42:26Do you believe that was a tipping point?
42:28There was a meeting on the 24th of February,
42:30a board meeting of Tata Sons,
42:32where Noel Tata reportedly raised questions
42:34on losses being made by several unlisted companies.
42:38The Air India question was also raised,
42:41and its losses.
42:43Was there a tipping point
42:44that you believe has resulted in this departure?
42:50I would be surprised if there would have been
42:52one sort of tipping point.
42:55I mean, these issues have a tendency
42:57to sort of accumulate over a period of time.
43:01Losses don't happen suddenly overnight,
43:04and I think they could have been projected way in advance.
43:08Likewise, I think this issue of listing of Tata Sons
43:11has been hanging fire for several years now,
43:15with the RBI obviously being an important stakeholder.
43:18So I doubt that there would have been one single issue.
43:22To my mind, it's probably a combination of issues,
43:24but it would be quite silly for anyone in the board
43:28to protest that they didn't see this coming,
43:31which is why I think it's incumbent on them
43:33to now demonstrate that they have planned beyond this
43:37and that the rest of the stakeholders
43:39are not just left with uncertainty
43:41and pondering what the future is going to look like.
43:44You know, Mr. Chandrasekharan spent four decades with Tata,
43:47led Tata Sons over the past decade.
43:50How would you assess his role,
43:51his contribution to the Tata,
43:53since he was seen as someone
43:54who had come through the ranks of the group,
43:56but was not a family member of the Tata,
44:00an outsider, a professional CEO?
44:02How do you see his contribution?
44:06So I made this point when we had the untimely passing
44:10of Cyrus Mistry, his predecessor,
44:13and I had made the point that in many ways,
44:17Chandrasekharan was actually continuing
44:18many of the prudent strategies and plans
44:22that Cyrus himself had laid out.
44:25So I think the initial period is first term for sure.
44:28It was a very important stabilizing factor
44:31for the group to have somebody from inside take charge.
44:34And as a managing director for employees
44:37to also feel that, you know,
44:39if they worked hard and did well,
44:40they could aspire to chairmanship
44:42of India's largest corporate house.
44:44In the second term,
44:45obviously there have been questions
44:47that have been raised on performance.
44:49I don't know to what extent the board
44:51was involved in some of the plans that are set out.
44:54There's a huge amount of capital investment,
44:57the largest in the group's history
44:59that is currently taking place,
45:01north of several hundred thousand crores.
45:04And therefore, maybe these questions have come
45:06at an uncomfortable time
45:08when there's also been the change
45:10from the Ratan Tata era to a new era.
45:12So I'm not sure to what extent
45:14the board felt comfortable
45:15with some of the responses being received.
45:17But I think Chandra should be applauded
45:20for certainly the stability he brought
45:22after the grim events around Cyrus's departure.
45:25But more recently,
45:26I don't think it can be anybody's case
45:28that shareholders like the Tata Trust
45:30should not have raised the questions
45:32they seem to have on performance, on outcomes.
45:36The Tata Trust, I must say,
45:38should be theoretically very well aligned
45:39with the performance of Tata Sons.
45:42The more profitable Tata Sons becomes,
45:45the more can be done in terms of dividends
45:47and get paid out to the charities
45:48and therefore the more good work
45:50takes place in society.
45:51So I think in that sense,
45:53the shareholders very much aligned
45:54with the performance of Tata Sons
45:56and to therefore raise questions
45:57of performance,
45:58I don't think anything can be held
46:00against the representative
46:02of the shareholders
46:02who may have done that.
46:04You know, you just mentioned Cyrus Mistry.
46:06You were seen to be aligned
46:07with him at the time
46:08and then Cyrus Mistry
46:09was eventually eased out
46:11by Ratan Tata.
46:11Are we seeing in a way
46:13a replay of that
46:14in some form
46:14between Noel Tata
46:15and Chandrasekharan?
46:19In Cyrus' case,
46:21I suspect many of us
46:23were taken aback
46:23at the speed
46:24with which suddenly
46:26events sort of took over.
46:28I don't think Cyrus himself
46:29knew what was coming.
46:31There will be people
46:32who will debate this
46:33but I can tell you
46:33that his close team
46:35that included me at the time
46:36had no inkling
46:37that something like this
46:38was on the cards.
46:39This time around
46:40it looks as if
46:41there has been
46:41an ongoing discussion.
46:43Mr. Chandrasekharan
46:44has later today
46:45in fact concedes
46:46that there has been
46:47a conversation
46:48that has been happening
46:48for many months.
46:50Six months have passed
46:51since the last meeting
46:52and a resolution
46:53has not been reached.
46:54So I'm hoping therefore
46:55that the board
46:56had more information,
46:58more knowledge
46:59on its side
47:00this time around
47:00to plan ahead.
47:02And that's what I think
47:03everyone will be looking
47:04to see
47:05in the next few hours
47:06and days.
47:08Let me just
47:08give you a final question.
47:10Choosing a successor.
47:11How easy is that
47:12going to be Mokind Rajan?
47:13Do you see someone
47:14out there
47:14who is going to be seen
47:15as a natural successor
47:17to Chandrasekharan?
47:18Will it be someone
47:19from the outside again
47:20or an insider?
47:24It depends on
47:24what structure they want.
47:26There has been talk
47:27that they might separate
47:27the role of
47:28an executive chairman
47:30into a non-executive chairman
47:31and potentially a CEO
47:33or MD for Tata Sons
47:34who will hold
47:35the operational reins.
47:36If they have
47:38that system
47:38I would hope
47:40that the CEO
47:41slash managing director
47:42could be somebody
47:43from within the group
47:44perhaps one of the existing
47:46managing directors
47:46who have done a good job
47:48in their companies
47:48could be elevated
47:49to that role.
47:50For the non-executive chairman
47:52I think
47:53you know
47:54it could be anybody
47:55either from within
47:55or from outside.
47:57It could be past directors
47:58from some of the Tata companies.
48:00I think Tata's
48:01will have no difficulty
48:03in attracting
48:04some of the finest talent
48:05not just in India
48:06but anywhere in the world.
48:07So I'd be
48:08fairly comfortable
48:09that lots of people
48:11have put their hands up
48:11for the job
48:12but obviously
48:13the board has to make
48:14the final call
48:15on who would be
48:16the right candidate.
