Good news tonight for companies that are late in the filing of their Post-incorporation documents.


These documents can include updates on changes to directors, share capital and annual returns.

00:16So we will have a waiver of penalties for late filing, which will be published by legal notice
00:21from the period January 31, 2025 to September 15, 2025.
00:28And this matter was, in fact, approved by the Cabinet today.
00:35So a company's amnesty, sorry, will be enforced, and I repeat again, from the 31st of January, 2025
00:42to the 15th of September, 2025, it will be an amnesty that operates retroactively.
00:50And as you all know, with respect to what has happened at the company's registry,
00:55there was the introduction and the digitization of key services at the Registrar General's
01:01Department, in particular the company's registry.
01:04He states that it was in part done to meet obligations under the Financial Action Task Force
01:09and the Global Forum.
01:11According to the Minister, over 87,800 documents have been filed using the company's registry
01:18online system for the period January 1, 2023 to May 26, 2025.
01:25As of the 16th of May, 2025, over 27,600 companies were in default of the Companies Registry Act,
01:33having not filed for more than three years.
01:36Hussein recalls the previous audit that was done where over 46,000 companies were struck off
01:42for not having filed their annual returns.
01:45The amnesty will now help them as well.
01:49So that they can in fact now be restored on the register.
01:54The Registrar General will not exercise the power of striking out of the Registry during this
02:01amnesty period.
02:03And I will give you some statistics just now, not only private companies that were struck out
02:08from the register.
02:08To meet challenges companies have been having in online filings, there are plans for an over-the-counter
02:16filing system.
02:17But the companies must be registered for a company's registry account.
