In a judgment which was delivered electronically this morning, Justice Frank Cipassa declares

illegal a loan agreement for $7 million which was prepared by attorney Varun Dibidine.

He says this loan agreement made no commercial sense and in the court's view, this was a

sham document which lacked commercial viability and it was designed and drafted to circumvent

source of funds obligations so as to include third parties including the banks into thinking

that the sum was a legitimate loan when in fact it was not so.

He has ruled in favor of Advanced Toes and Marketing Limited who is seeking the repayment

of $7 million from three parties named in the civil suit.

They are Cordell Philbert, Jawash Ramjathan and ZA Limited Engineering Consultancy.

The court heard that around the month of July 2023, Advanced Toes and Marketing Limited

engaged the services of the three defendants to undertake conceptualizing, managing and

performing construction services inclusive of maintenance services for a construction

project.

The work was never done and the money was never returned.

Judge Cipassa declares that all three defendants colluded and or conspired to defraud the claimant

of the money and they are jointly and individually liable to the claimant for the repayment of

the $7 million with interest.

The Registrar of the Supreme Court has been directed to send all the documents filed in

the case as well as the court's decision to the Disciplinary Committee of the Law Association

of Trinidad and Tobago for their consideration within 28 days of the ruling.

The Registrar of the Supreme Court is also directed to make an application to the Disciplinary

Committee of the Law Association of TNT in relation to Varun Debedin who had drafted

the agreement.
