01:59 Jakarta, coverage team, IDX Channel.
02:03 Yes, the audience is discussing our interesting topic today, the 2022 Annual Report Awards,
02:15 which is connected via Zoom with Professor Linda Watigani. She is the Chair of the 2022 Judges' Council.
02:23 Hello, good morning, Prof. Linda.
02:25 Good morning, Mr. Prasetyo. Thank you.
02:29 Okay, greetings, ma'am.
02:31 Yes, greetings to you too, Mr. Prasetyo, Mrs. Francisca, and the audience as well.
02:37 Okay, let's get to the point. Mrs. Francisca Uy, she is the Director of the Cooperation of Corporate Affairs and Legal,
02:43 PT Bank CIMB, TBK. Good morning, Mrs. Francisca.
02:48 Good morning, Mr. Prasetyo, good morning, Mrs. Linda, and good morning to all of you.
02:53 Okay, greetings to you too, Mrs. Francisca.
02:55 Greetings to you too.
02:58 Okay, thank you. And let's get started. This is related to the 2022 Judges' Council.
03:02 Let's go straight to Professor Linda. What can be conveyed to the public right now?
03:07 What is the theme of this year's Judges' Council? Or what is the basis of the theme for this 2022 Judges' Council?
03:13 Please, Prof.
03:14 Yes, okay, Mr. Prasetyo.
03:16 The theme of this year's Judges' Council is the Integrated Mindset Towards Sustainability for Long-Term Value Creation,
03:27 which emphasizes the evaluation of the expansion of governance and sustainability aspects, or ESG,
03:37 as well as the concept of integrated thinking in designing and internalizing sustainable strategies into the company's business process.
03:49 Why was this theme chosen? Because it is hoped that if the company conveys or reveals a report on its sustainability,
04:01 the sustainable activities should be internalized into the business process.
04:10 So, from the beginning, when the company organizes its vision and strategy to implement its activities,
04:21 there is already an element of sustainability or continuity and internalized into the process.
04:30 So that the result is not only CSR, but also can create a long-term value creation for various parties,
04:48 including the company itself.
04:53 Okay, who are the sponsors for this year's 2022 Judges' Council?
04:58 There are six institutions for this year's 2022 Judges' Council.
05:05 They are the Financial Services Authority, Indonesia's EFFECT, National Governance Policy Committee,
05:16 Ministry of State, Ministry of Finance, and Indonesian Accounting.
05:27 So, there are six institutions.
05:29 There are six institutions that will be the sponsors for this year's 2022 Judges' Council.
05:34 Let's go to Mrs. Francisca. Can you explain more about the process of organizing the AR and SR that has been carried out in the company?
05:46 In the organization of AR and SR, we have formed a committee.
05:57 Because we feel that this is an important matter,
06:03 the committee consists of our own president, three directors, and the director-in-charge.
06:15 In this matter, our committee is not only the director, but also involves other responsible people,
06:24 according to the directorate or unit-by-unit that we need to include or what we will present in the annual report.
06:34 There are two responsible people, especially for this year, and actually every year.
06:41 The coordinator is responsible for the annual report, sustainability, and GCG.
06:48 So, every person, directorate, or unit in the company is involved in the planning or making of the annual report and sustainability report.
07:01 What is the role of the directorate and the committee in terms of sustainability?
07:13 As I said, the committee consists of four directors, president, and three directors.
07:22 In the planning or making of the annual report, we also involve our commissioners and DPS.
07:32 We also involve the Sariah Supervisory Board.
07:39 In the organization, we communicate with our press com,
07:46 where the press com provides input on the structure of our annual report and sustainability report.
07:56 After the annual report is completed, we discuss again whether there are other input.
08:08 So, the involvement is quite strong in this matter.
08:11 What about the criteria and the evaluation process that the jury has done in the 2022 ARA hearing?
08:22 I will start with the criteria.
08:26 The 2022 ARA evaluation criteria is based on the report of the Financial Services Authority No. 16 of 2021 on the structure and contents of the annual report.
08:41 It includes the report of the 2021 ARA hearing on the technical documentation of the sustainable report,
08:54 which also refers to the 2021 ARA hearing on the implementation of sustainable finance.
09:04 We also use additional criteria from the General Document of the Indonesian Corporate Governance,
09:15 which is approved by the National Council of Government of Indonesia, or known as PUGGI, in 2021,
09:23 and also the ASEAN CG Scorecard and other relevant sources.
09:29 Based on these criteria, we proceed to the evaluation stage.
09:37 The ARA evaluation process is carried out in two stages.
09:43 The first stage is the evaluation stage, and the second stage is the interview stage.
09:53 In this evaluation stage, we will also divide it into the first and second stages.
10:02 The evaluation is based on the material conveyed by each participant.
10:09 We provide a link to the 2022 ARA system,
10:19 and each participant will provide the items requested in the SAOJK and so on
10:29 on the Annual Report page and the Sustainability Report page.
10:36 Then we use it for the evaluation.
10:41 The first evaluation stage determines who can pass the second stage.
10:49 Not all participants can pass the second stage, and then pass the third stage.
10:56 That's the order.
10:59 How many participants are participating in the 2022 ARA?
11:04 Is there any difference compared to the previous ARA?
11:07 We will discuss it in the next segment.
11:11 We will take a break for a while.
11:13 We will be back after the next ARA.
11:16 Thank you for joining us in Market Review.
11:20 In the next segment, we will provide you with some data related to 9 categories of the 2022 Annual Report Award.
11:27 You can watch the complete data on your television screen.
11:30 First, the financial public and non-financial public.
11:34 The third category is the non-go-public and non-go-public.
11:39 The fifth category is the financial public and non-financial public.
11:43 The sixth category is the financial public and non-financial public.
11:45 The seventh category is the financial public and non-financial public.
11:47 The eighth category is the financial public and non-financial public.
11:52 The ninth category is the financial public and non-financial public.
11:57 Those are the 9 categories of the 2022 ARA.
12:01 Then, the jury's evaluation.
12:06 There is a death evaluation.
12:08 It is divided into stages 1, 2A, and B.
12:12 Based on the criteria that have been established and published on the KNKG website.
12:17 There is also an interview stage to get a high-level view from the company's leaders
12:23 about the corporate governance practices implemented by the board.
12:28 And the fourth is to confirm the death evaluation on the annual report.
12:34 Those are the jury's evaluation of the 2022 ARA.
12:39 Next, we will see the jury's evaluation of the 2022 Annual Report Award from which representative.
12:47 First, there is the Directorate General Payment of the Ministry of Finance.
12:56 Second, there is the Ministry of Home Affairs.
12:59 Third, there is the Indonesian Business Effect, the National Committee on Governance Policy, the KNKG, and the Indonesian Accounting Union.
13:06 We will continue the discussion with Professor Linda Watigani, the Chair of the 2022 ARA jury,
13:13 and also Francis K.Wi, the Director of the Cooperation, Corporate Affairs, and Legal from CIMB Bank, TBK.
13:21 We will continue.
13:23 Let's go to Professor Linda. This is related to the previous question.
13:27 How many participants in the 2022 ARA?
13:32 Is there any difference with the previous ARA?
13:36 For the 2022 ARA, there are 163 companies.
13:45 We will categorize the 90 companies after we evaluate them.
13:56 The base is the highest value.
13:59 It is the base.
14:01 The second stage consists of 87 companies.
14:08 The next 87 companies will be sorted to get the last stage, the interview stage.
14:19 We will get 28 companies.
14:23 These 28 companies are already successful.
14:29 It is not easy to get to the third stage.
14:36 From the 9 categories, is this the same criteria as the previous year?
14:46 Or is there any difference with the 2022 ARA?
14:50 There are 13 categories.
14:59 Not all of them are included.
15:03 It is based on the value.
15:09 The value is scaled.
15:11 So, not all of them are included.
15:15 The rules of the GoPublic and Non-GoPublic are different.
15:21 The rules of the financial and non-financial companies are also different.
15:26 The number of items we evaluate in each category is different.
15:33 So, it can be equalized.
15:36 We have made the scale equal.
15:41 So, it can be ranked.
15:48 Compared to the previous year,
15:51 the number is higher.
15:54 Maybe, the 2022 ARA will be shorter.
16:02 So, we hope that the next ARA will be longer.
16:12 Okay.
16:13 Let's move to Mrs. Francisca.
16:15 How important is the 2022 ARA to implement the corporate governance principles?
16:24 And what do you think as a company,
16:26 as an entity of Pasar Munal?
16:29 The ARA is a great opportunity for us to get an award.
16:38 But for us, the company,
16:40 the important thing is how we work.
16:45 Because, the ARA is actually a package.
16:49 Or how we express it.
16:51 But if what we express is not there,
16:55 it means we don't do it.
16:56 We don't know what we express in the annual report.
16:59 So, in my opinion,
17:00 the most important thing in this ARA is
17:03 in doing business,
17:09 how we implement the governance,
17:12 and what is the importance of sustainability for the company.
17:16 And we have to do it not only in the ARA organization,
17:20 but it has to be part of how we do business.
17:25 Okay.
17:26 What are the challenges that you face in the CIMB Niaga?
17:29 How is the implementation of governance?
17:32 Because it has to be a breath,
17:34 a part of every movement of all the people in CIMB Niaga.
17:39 Our challenge is because we have employees,
17:43 or we have quite a large number of employees.
17:46 And in this matter,
17:48 the most important thing we do is communication.
17:51 And how we communicate.
17:53 And we have to do communication in our daily life.
17:57 Okay.
17:58 We communicate every day.
18:00 Then we also give examples
18:03 how we appreciate an activity or an action that supports governance.
18:11 And on the contrary,
18:12 how we give a kind of reminder
18:16 if it is not in accordance with governance.
18:18 It is also very important that we have an ethical code,
18:20 we have policies
18:22 that can help our employees in determining attitudes.
18:27 So that they are clear
18:28 what they can do and what they can't do
18:31 or should avoid.
18:33 And this communication is very important.
18:35 How we always emphasize the importance of governance issues, etc.
18:40 Okay.
18:41 What are the tips that can be shared to the public or the IDXL auditors?
18:46 We will discuss it in the next segment.
18:48 We will be back in a moment, Mrs. Fransika and Professor Rina and auditors.
18:52 Stay with us.
18:53 Thank you for joining us in Market Review.
18:56 We will continue our discussion with Professor Rina Watigani,
18:59 Chair of the 2022 Audit Office,
19:01 and Mrs. Fransiska Oe,
19:02 Director of the Cooperation, Corporate Affairs and Legal, PT Bangsi,
19:06 and the TBK.
19:07 Okay, Mrs. Fransiska, we will continue.
19:09 Cat, Cat, what can you share?
19:11 How is the organization of the AR, I mean,
19:14 and then the SR, what is it like?
19:17 Please.
19:18 As I have explained earlier,
19:21 actually, regarding the AR itself
19:24 or the organization of the report of sustainability,
19:28 it is actually only how we express it.
19:30 What are the important things we have to say?
19:32 But, Cat, Cat, for this success,
19:34 the most important thing is
19:36 what we do in our business activities
19:41 or how we face our customers.
19:43 Therefore, every day,
19:46 we always see how we comply or not with the existing regulations.
19:51 But, it is not enough.
19:52 There must be more than the regulations.
19:55 For example, we see how we comp…
19:57 how we face the gap in the Asian Scorecard.
20:00 Earlier, Mrs. Linda mentioned about PUGI.
20:03 How do we face the gap?
20:04 PUGI is all outside the regulations,
20:07 more than the regulations.
20:08 Then, in terms of sustainability,
20:10 so, the things that are more in the regulations,
20:13 what do we have to improve?
20:15 And that's what we do all year round, sir.
20:18 So, for example,
20:20 we are in the ISO 3701 process
20:24 on anti-bribery and corruption policy.
20:26 There is no regulation that requires it.
20:30 But, we know that this is an important thing.
20:32 So, every time we…
20:36 the business community always sees
20:39 what things we have to improve.
20:42 Because this is about governance, sustainability.
20:45 And that's a living thing.
20:46 That keeps on developing.
20:49 That's what we have to make sure
20:52 to apply to those things.
20:54 Okay, that's the most important thing,
20:56 the implementation in every person
20:58 who becomes an operational today.
21:00 Prof. Linda, I'm curious,
21:02 who will be the winner of ARA 2022?
21:06 Okay, sir.
21:07 For the general winner, as we heard,
21:09 maybe from the beginning, Mr. Prasno mentioned,
21:12 PT CIMD.
21:15 As you said, CIMD is a bit typical.
21:17 So, we invited Mrs. Francisca to share with us
21:21 this morning.
21:23 Then, for the category,
21:26 for the general winner,
21:28 all of them are because of the highest value.
21:30 Okay.
21:31 After that, the participants are in the first category.
21:34 For the participants who go public,
21:36 there are those who go public financial
21:38 and those who go public non-financial.
21:40 For those who go public financial,
21:42 the first winner is PT Bank Mandiri Peseiro T.B.K.
21:46 Okay.
21:47 Then, the second is PT Bank Rakyat Indonesia Peseiro T.B.K.
21:51 The third is PT Bank Pembangunan Daerah Jawa Barat dan Banten T.B.K.
21:57 For those who go public financial.
22:00 Okay.
22:01 For those who go public non-financial,
22:03 the first winner is PT Jasa Marga Peseiro T.B.K.
22:07 The second winner is PT Bukit Asam T.B.K.
22:10 The third winner is PT Austindo Nusantara Jaya T.B.K.
22:16 Those are all T.B.K.
22:18 Okay.
22:19 Non-financial.
22:20 Okay.
22:21 Then, the next category is
22:23 for those who go public non-financial,
22:25 there is only one winner.
22:28 So, we do not mention the first, second, or third winner.
22:31 Okay.
22:32 Because the participants who go public financial are only one.
22:36 That is PT Jasa Marga.
22:38 So, we mention them as the winner.
22:41 Okay.
22:42 For those who go public non-financial,
22:44 there are three winners.
22:46 The first winner is PT PLN Indonesia Power.
22:50 The second winner is PT Pupuk Kalimantan Timur.
22:53 The third winner is PT PLN Nusantara Power.
22:57 Okay.
22:58 Then, the next category is
23:03 for those who go public non-financial,
23:05 there are only two winners.
23:07 That is BUMN Financial and BUMN Non-Financial.
23:12 For BUMN Financial,
23:14 the first winner is Bank Takungan Negara Pesiru T.B.K.
23:18 The second winner is Bank Negara Indonesia Pesiru T.B.K.
23:22 Then, for BUMN Non-Financial,
23:25 the first winner is PT PP Pesiru T.B.K.
23:29 The third winner is PT Pupuk Indonesia.
23:33 Then, for BUMN Financial,
23:37 there is no category for non-financial, sir.
23:41 So, the winner is only for financial.
23:44 We do not mention the winner, but the winner.
23:48 That is PT Bank Pembangunan Daerah Jawa Timur T.B.K.
23:52 Okay.
23:53 There is only one, sir.
23:54 Then, for non-BUMN,
23:57 the last category is non-BUMN Financial.
24:02 The first winner is PT Bank Mandiri Tas Pen.
24:06 The second winner is PT Bank Meibeng Indonesia T.B.K.
24:10 Okay.
24:11 The third winner is PT Bank Permata T.B.K.
24:15 Then, for non-financial,
24:17 there are non-BUMN, non-BUMN Non-Financial.
24:20 The first winner is PT IPC Terminal Peti Kemas.
24:24 The second winner is PT Cikarang Listrik Indu T.B.K.
24:28 So, if we look at this,
24:30 there is no category for non-financial.
24:34 Okay.
24:35 It does not fit.
24:36 Okay, Prof. That's it.
24:37 So, the winners of ARA 2022
24:40 as it has been announced to the audience at IDXNL.
24:43 Prof. Lidah Wati, then Mrs. Francesca Uy,
24:46 thank you very much for your time and sharing

24:49 related to the ARA 2022 hearing.
24:52 Congratulations on your activities again.
24:54 May you be healthy, Mrs.
24:55 Thank you, Mr. President.
