00:00TikTok is finally going to be America-ready.
00:03After political side-eye, legal threats, and security talk,
00:07TikTok has moved to hand over a big chunk of its American business to American investors.
00:12An internal memo from Shochu, CEO of ByteDance,
00:16says the deal creates a shiny new entity called TikTok, USDS, Joint Venture LLC.
00:23Yes, that name sounds like it was generated by a corporate acronym bot,
00:26but the implications are very real.
00:28The memo, viewed by TechCrunch, calls it a new TikTok-US joint venture.
00:33Executive speak for please stop asking us to sell.
00:37It also says major American investors will take substantial control of TikTok's US operations.
00:43That group includes cloud-heavyweight Oracle, private equity firm Silverlake,
00:47and AI-focused investment firm MGX.
00:51Together, they'll own 45% of TikTok's US business,
00:54while ByteDance keeps just under 20%, meaning TikTok remains in the family,
00:58just supervised very closely.
01:01The new joint venture will oversee everything regulators worry about most,
01:05including data protection, algorithm security, content moderation, and software assurance.
01:10Oracle will play Hall Monitor as the trusted security partner responsible for auditing and
01:14validating compliance with US national security terms.
01:18The deal is expected to close on January 22, 2026,
01:23and the arrangement closely mirrors language from an executive order signed by Donald Trump in September
01:28that outlines a blueprint for TikTok's US divorce from China.
01:32CNBC had previously reported that Oracle, Silverlake, and MGX were likely to be involved,
01:37but this is the first time ByteDance has confirmed the details.
01:42First reported by Axios, the news marks the end of a long saga in which the US government
01:47argued TikTok posed a national security risk due to Chinese ownership.
01:51For now, TikTok stays online, Americans keep scrolling,
01:55and the app finally accepts long-debated US oversight.
02:07For now, it's the first time ByteDance is the first time ByteDance is the first time ByteDance.
