10:55 Thank you Mark. At this time I'll call up Bob Golden to give us an update on legal matters.
11:10 Thank you Craig. Good morning everybody. I'm Bob Golden. I'm National Litigation Council for UTRIP.
11:15 And the one member of the legal team that you guys seem to try and avoid at all costs.
11:34 You know when I was asked by the board yesterday to give a little three minute pep talk to you on legal matters.
11:39 I asked them, you know, what do you guys want me to talk about? And they said, well, try to give them some advice so that we don't have to pay you anymore.
11:48 What do these guys need to do to stay out of courthouses?
11:56 And at the outset, let me just tell you guys, you're doing a tremendous job.
12:01 And it's not hyperbole, you're doing a tremendous job.
12:06 Think of all the events, leagues, tournaments that you guys are running each and every year.
12:11 It's thousands upon thousands upon thousands of them.
12:21 And right now, this organization only has 40 open claims in the U.S.
12:26 40 out of all the events you guys are running.
12:31 You guys are doing things right.
12:36 But I did give some thought to what might help you stay out of courtrooms, stay out of courthouses, and not have to deal with me.
12:53 The first thing is, please, please, please, whenever possible,
12:58 utilize the indemnification agreements and releases that we have on our websites.
13:07 You've all heard the adage, you know, an ounce of prevention is worth a pound of cure.
13:14 That has no greater applicability than in your operations and what you are doing.
13:22 So for the adult leagues that you're sponsoring or adult tournaments you're running,
13:27 please utilize the releases that we have on the U-TRIP website.
13:33 That'll keep you out of courthouses later on.
13:39 For youth sports, we have parent/guardian indemnification agreements.
13:44 Now, that's not necessarily going to keep you out of the courthouse
13:49 if a young member involved in one of your events is injured.
13:54 But it will require the parents and guardians to defend you and the organization
14:01 should a lawsuit ultimately be presented.
14:09 And the second little pointer that I had for you, ladies and gentlemen,
14:14 is about what you can do after an incident.
14:19 After an incident, somebody's injured either on the field or outside,
14:24 put on your Sherlock Holmes caps, okay?
14:31 Become your own CSI investigator.
14:36 Try to document everything related to that particular event, okay?
14:41 Maybe who saw the event occur, this injury occur.
14:46 If there's videos, try to do that.
14:52 Try to ask someone, "Hey, could I see that? Could you send me the video?"
14:57 Take pictures, okay? Anything that you can do to document what happened at the time of this event.
15:02 That will pay dividends later on, I've got to tell you.
15:08 There was a case a couple of years ago in which a U-Trip manager
15:13 claimed that right after an event, right after a ball game,
15:22 he got punched by another manager.
15:27 Unprovoked, he didn't do anything.
15:33 Walking in the parking lot and then get clobbered by this other guy.
15:38 The director involved in that case found a surveillance video from the park.
15:44 And what that video showed was that, yeah, the guy in fact was clobbered by this other manager.
15:52 It also showed that before that happened, the guy that was claiming that he didn't do anything
16:01 took a bucket of balls and threw it at the other guy.
16:06 Pay dividends.
16:11 You get a report of somebody being injured or something happening at one of your events,
16:16 just go and ask around. See what's available to help you should a lawsuit ever be filed.
16:26 There's one other point that the board asked me to just mention this morning.
16:31 There's a modification to the policy and procedures manual in Section 6 regarding suspensions.
16:36 Previously, state directors only had the ability to issue suspensions for one year.
16:46 Now, the modification, the change is that we are giving state directors the ability to issue suspensions
16:53 for one year.
16:58 National sports directors.
17:03 I'm sorry. National sports directors.
17:08 Previously, only he had an opportunity to issue suspensions for one year.
17:13 They've upped it to three years if you choose.
17:18 Thank you, Bob.
17:23 At this time, I'm going to bring up each board member.
17:28 I think it's important that they give you a little bit of behind the scenes of what goes on here and speak to you.

18:48 Every year I see you guys and you know, we all make it through a year
18:53 through rain, through the ugliness part of our jobs.

19:58 Morning everybody. I want to start
20:03 with last night. We changed things up a little bit.
20:08 By we I mean the national office changed things up a little bit. Put a different spin on the opening
20:13 night on the party, on the get together. I walked out there, I was just
20:18 blown away with it. The atmosphere, the engagement, the fun, the networking
20:23 that was going on. So I just want to ask everybody to give the national office and their
20:28 staff a round of applause for putting together that opening party last night.

20:38 Our collective greatness lies in the greatness within each one
20:43 of us. As many of you know, I'm
20:48 directly connected to fast pitch and baseball. I was reflecting on the way here
20:53 and just thinking about where we are, where we were to evaluate
20:58 where we've come. I was telling the fast pitch leadership yesterday
21:03 we sat here a year ago and thought holy cow, this is the best year
21:08 we've ever had. This is incredible. Have we reached the
21:13 pinnacle? Have we gotten there? And then we laced up our boots
21:18 and we challenged our directors to push harder. And just about every
21:23 state in the sport is up and the sport as a whole is up.
21:28 And so that collective momentum that we carry pushes
21:33 us further, faster. And when you look across all the sports, there's
21:38 success stories, and we heard them all yesterday, there's success stories in each and every one of them.
21:43 And yes Craig, even soccer. But that's
21:48 where we are. And when you listen to, I don't know if Chad's in the room here or not, but Chad's
21:53 presentation yesterday, one thing that really resonated with me is to
21:58 his statement on competing with yourself. There's a lot of noise
22:03 around us. The competition is around us. And they target us
22:08 because we're at the top. And the challenge is to evaluate
22:13 yourself each and every day, each and every year, and compete with yourself to make
22:18 yourself better. That's where I think a majority of the people in this room are mentally.
22:23 And we need to keep doing that and moving forward and push USSS
22:28 and each of our own individual programs to the next level, even if
22:33 we don't know where that level is. So thank you all for what you do each and every day
22:38 for all of us collectively.
22:43 Good morning everybody. I'm Tim Hanley,
22:48 newest member to the board, just in time. I've been around for five years.
22:53 Maybe you remember my business 101 class from several years ago.
22:58 I'm an old CPA from Deloitte, long time ago, but I've been consulting in CFO world
23:03 for the last 25 years. I've probably consulted with 80 companies. This has to be
23:08 the happiest organization I've ever seen. It could be the alcohol, I'm not sure,
23:13 but that was a great party last night. Now I've been looking at the numbers
23:18 all these years and truly impressed with the growth that's been going on in the different areas.
23:23 Now when I started, the facility was just going in the era. The numbers
23:28 were not good. The facility was not engaged yet in a full-time basis. We were just coming online,
23:33 spending a lot of money on repairs and maintenance for that facility. Today it's first class.
23:38 We had something of a world series. Teams came in from all around the world,
23:43 played. That cost a lot of money. Or as we say, we invested in the world series.
23:48 I can truly say today that the financials are sound.
23:53 We have very good balance sheet. We have very good profits, and those profits are turned around
23:58 and put back into the organization to help IT. IT recently supercharged,
24:03 redoing the website. Massive, massive need and change that's coming along.
24:08 I have every faith that 2024 is going to be a very good year, a very successful year,
24:13 and I wish everybody here that they have a great year. They have good luck,
24:18 have lots of fun, and make lots of money. Thank you.

24:28 I'd like to recognize Angie Swint. She cannot be here.
24:33 She works for the Texas Rangers, and they've had a little bit of a busy couple of weeks.
24:38 She works at Media. Again, Angie, very, very important to our organization.
24:43 Joins every board meeting, but she can't be here as she's,
24:48 I think, got other things in mind at the moment. Bob, if you'd like to come back up,
24:53 we're going to do the presentation of the bylaws,
24:58 or proposed bylaws.
25:03 These are the proposed bylaw changes
25:08 submitted for your approval by vote this morning. The change to Article 2
25:13 Organization Section 3, we are removing the word "are" and adding "may."
25:18 The change to Section 4, we're deleting the words "shall be"
25:23 and replacing it with "is." The change to Article 3 Governing Rules,
25:28 Section C, USSSA, sanctioned events shall be subject
25:33 to the USSSA bylaws, sport program bylaws, playing rules, directives,
25:38 procedures, and policies. We are simply adding in subsection 3 the word
25:43 "USSSA," so any USSSA activity. The change
25:48 to Section F, Compliance and Responsibility,
25:53 we are simply making a change,
25:58 making directors capitalize instead of just small case.
26:03 But the primary addition is the following, ladies and gentlemen.
26:08 The USSSA tournament or league director of the USSSA
26:13 sanctioned activity is responsible for addressing any site issue that is brought to his or her attention,
26:18 provided, however, that the owner of the site
26:23 shall not be relieved of its ultimate responsibility for the condition
26:28 of the site. The next proposed change
26:33 is to Article 11 State and Area Directors,
26:38 Section 1 State Directors. At the end of that paragraph, we're simply
26:43 adding the words "or National Sports Director."
26:48 And in Section 2 Area Directors, that change simply
26:53 deletes the word "delegated" and replaces it with "designated."
26:58 The change to Article 15, Copyrights, Telecast
27:03 and Broadcast Rights, Section 3 Proceeds,
27:08 we are deleting the word "the" at the bottom of that initial paragraph. And that is it.
