A major boardroom conflict has emerged within the Tata Group over corporate governance, leadership, and the proposed stock market listing of Tata Sons. Tata Trusts Chairman Noel Tata opposed the Tata Sons board's four-to-one resolution to reappoint N. Chandrasekaran as chairman for another five-year term from February 2027, and also rejected the proposed listing. In contrast, trust nominee Venu Srinivasan backed the board's decision, while the Shapoorji Pallonji Group favored a listing to unlock share value. The conflict involves regulatory scrutiny after the Reserve Bank of India rejected Tata Sons' request to exit its core investment company status. Amid the escalating corporate dispute heading for legal evaluation, Finance Minister Nirmala Sitharaman highlighted the necessity of professionalisation and separating ownership from management in businesses, while veteran politician Sharad Pawar advocated for dialogue, due process, and upholding the affirmative rights and ownership role of Tata Trusts under its articles of association.

00:21So who holds the decisive say over Tata Suns?
00:24Take a look at this report.
00:39Tata Group, one of India's largest and most influential business conglomerates,
00:45is now facing an increasingly bitter boardroom battle.
00:52What began as a disagreement over leadership and the future of Tata Suns
00:57is now spilling into questions over ownership rights, governance and the very structure of the group.
01:07At the centre of the showdown, Noel Tata versus the Tata Suns board.
01:13And with the state set for a legal showdown, more voices are now weighing in.
01:20Finance Minister Nirvila Sitaraman, without naming Tata, said family-run businesses need professionalisation,
01:27separating ownership from management, clearly defining responsibilities.
01:32The remark, though intended for medium-sized firms, has raised eyebrows as it comes amid the succession war in Tata
01:40Group.
01:40The challenge is often not entrepreneurship, but institutionalisation.
01:47We need professionalisation, separating ownership from management,
01:53defining responsibilities, preparing the next generation and resolving conflicts before they affect the business itself.
02:02And now, veteran politician Sharad Bawar has weighed in,
02:07backing the importance of Tata Trust's role in the group, calling it a national institution rooted in Maharashtra,
02:14and said its charitable ownership must be protected.
02:18He argued that the articles of association must be honoured.
02:22The article gives Trust-nominated directors affirmative rights on key decisions,
02:27including the chairman's appointment.
02:30Pawaas says the answer must be settled through dialogue, due process,
02:35and keeping respect for the Tata Trust's role as the majority owner.
02:41The flashpoint came on September 17th, when Tata Suns board voted 4-1 to reappoint N. Chandrasekharan
02:49for another five years from February 2027.
02:54Noel Tata voted against the resolution.
02:57Another trust nominee, Venu Srinivasan, voted in favour.
03:02Noel has also opposed the proposed listing of Tata Suns.
03:06There was a meeting of Tata Suns board,
03:10and there were two trustees who could attend, some trustees could not attend.
03:14Two of them attended, one voted yes, one voted no.
03:17So the chairman had a casting vote.
03:19I believe somebody is taking a technical view,
03:21saying a casting vote is not for the trust and trust majority, etc.
03:25But you can't have a company with two lakh crores worth of assets being held hostage by two trustees.
03:31And with the trust holding roughly 66% of Tata Suns, the battle over who controls the group's future is
03:40now heading for a crucial legal test.
04:10Mr. Noel Tata is one of the two who deferred.
04:34And let's now understand more about this Tata battle, the ongoing battle.
04:40So the Tata group is facing a major battle over the proposed listing of Tata Suns on the stock market.
04:46Now the Tata Suns board is pushing ahead with the listing,
04:49but Tata Trusts oppose the move and want Tata Suns to remain privately held.
04:53At the heart of the dispute is the regulatory framework governing Tata Suns.
04:58The RBI's rules have put the company's listing plans under the spotlight after the central bank rejected Tata Suns' request
05:05to exit its core investment company status.
05:08Now the proposed IPO also raises larger questions over ownership, control and governance within the Tata group.
05:14For Tata Trusts, the concern is about preserving the traditional structure of Tata Suns.
05:19For the board, the issue involves regulatory compliance and the future structure of the holding company.
05:25The listing battle has therefore become a larger power struggle over the future of Tata Suns.
05:31In fact, the tug of war within the Tata group can be traced to the reappointment of N. Chandrasekran as
05:37Tata Suns chairman.
05:38The Tata Suns board has backed Chandrasekran for another five-year term, with the resolution reportedly passing by a 4
05:46-1 vote.
05:47The Tata Trusts chairman, Noyal Tata, has opposed the reappointment, challenging the validity of the board's decision.
05:54Now the trusts have described the resolution as a legal nullity and questioned whether the Tata Suns board had the
06:01authority to approve the appointment without their concurrence.
06:05Now Chandra has accepted the fresh five-year term.
06:08The dispute puts Chandrasekran's continuation, the powers of the Tata Suns board and the special rights of Tata Trusts at
06:15the centre of an escalating corporate confrontation.
06:18So this major power tussle is unfolding within the Tata group, with Tata Suns, Tata Trusts and other key stakeholders
06:27taking different positions.
06:28So the Tata Suns board has backed N. Chandrasekran for another five-year term and wants to move ahead with
06:34the stock market listing.
06:35But Tata Trusts, which is led by Noyal Tata, opposes both Chandrasekran's reappointment and also the proposed listing.
06:43Chandrasekran, however, is ready for return and has accepted the fresh five-year term.
06:48Meanwhile, the RBI has rejected Tata Suns' request to exit its core investment company status, keeping the regulatory issue around
06:56listing in focus.
06:57Finance Minister Nirmala Sitaraman has urged stronger governance and resolution of internal differences.
07:03Trust nominee Venu Srinivasan has backed Chandra and the board's decision.
07:08And Shapurji Palunji Group, Tata Suns' second-largest shareholder, has also favoured a Tata Suns listing as it will unlock
07:16the true value of their share.
