“WALLY ON THE RUN” CONTEST TERMS AND CONDITIONS

 

CONTEST DESCRIPTION

 

The “Wally on the Run” contest is a competition organized by Crow Touring, Inc. and William Morris Endeavor Entertainment (“the Organizers”), in which entrants shall compete by submitting their videos on Dailymotion’s (“Sponsor’s”) website in compliance with the Terms and Conditions described hereunder (“T&C”).

CONTEST ELIGIBILITY

 

1. The contest is open to people ages fourteen (14) and up from all United States . Entrants who are under the age of majority in their jurisdiction of residence must have their parent/legal guardian's permission in order to submit an entry in this Contest Employees of the Organizers, its contest sponsor, advertising and promotional agencies, Dailymotion and their respective affiliates and associates and such employees' immediate family members and persons with whom such employees are domiciled are excluded from this contest.

 

HOW TO ENTER

 

2. First register to participate, thereby becoming an eligible Entrant. Entrants participating in the contest, shall register for Motionmaker status. Registration is free and available through Dailymotion’s website at :

 http://www.dailymotion.com/register/motionmaker.

 

3. As part of the registration process, Entrants shall be required to (A) submit the information required; and (B) unconditionally agree to be bound by (i) these T&C, (ii) Dailymotion’s Terms of Use.

The decisions of the Organizers shall be final and binding in all respects. Limit one registration per person and per e-mail address.

5. Once downloaded, create your own video for "Wally on the Run". Entrants shall
create a music video to go along with the “Wally on the Run” mp3(“Music Video”). As a result, the length of the Music Video is the length of   the “Wally on the Run” mp3 Entrants shall use the Song in full. Consequently, Entrants shall not modify/cut the master recording of “Wally on the Run” as recorded by Steve Martin (“Artist”) or interpolate or otherwise include in the track any materials owned or controlled by third parties.

 

 

 

 

 

HOW TO SUBMIT YOUR VIDEO

 

6. Once you have completed registration for the contest, follow the online instructions to complete, encode and upload your Music Video. Each Entrant may submit several Music Videos during the term of the Contest. You must complete the registration process and upload your Music Video no later than the Submission Deadline.

8. To be eligible, entries must comply with the contest rules and any submissions must be completed and received on or by December 1, 2009 11:59pm Pacific Standard Time.

 

CONDITIONS OF CONTEST ENTRY

 

9.The submitted Music Video may not contain, as determined by the Organizers, in their sole discretion, any content that:

(a) Is sexually explicit or suggestive; unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; contains nudity;

 

(b) Promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous;

 

(c) Is obscene or offensive; endorses any form of hate or hate group;

 

(d) Defames, misrepresents or contains disparaging remarks about the Artist, Sponsor, or their products or other people, products or companies;

 

(e) Contains trademarks, logos or trade dress (such as distinctive packaging or phraseology) owned by any entity other than Artist;

 

(f) Contains copyrighted materials owned by any third party (including photographs and other works of art or images);

 

(g) Advertises or promotes any brand or product of any kind;

 

(h) Contains any personal identification, such as personal names, street or email addresses, or phone numbers of any person or entity;

 

(i) Violates or encourages the violation of any law, rule or regulation;

 

(j) Contains materials embodying the names, likenesses or other indicia identifying any person other than the Artist, including, without limitation, celebrities and/or other public or private figures, living or dead; and

 

(k) Promotes any particular political party, agenda or message; and/or Communicates messages or images inconsistent with the positive image and/or goodwill to which the Artist wishes to associate.

 


10.
Each Entrant warrants and represents that (i) he/she owns all rights to the Music Video he/she is submitting, (ii) the Music video is original and have been legally obtained and created. By submitting a Music Video to this contest, the Entrant agrees to release and hold harmless claim or cause of action arising out of such Music Videos or Entrant’s participation in the Promotion.

11. All Organizers and Dalymotion’s trademarks and logos are protected. All rights of the producer and the owner of the Song are reserved. Unauthorized copying, hiring, renting, public performance and broadcasting of this recording are prohibited. As a result, the Entrant will not acquire a copyright or any other interest in the musical composition “Wally on the Run” or any master recording thereof by virtue of creating Music Videos.

 

 

DISQUALIFICATION

 

12. At any time during the contest, the Organizers reserve the right, in their sole discretion, to disqualify and remove any Music Video for any reason.

13. The Organizers reserve the right to disqualify any entries which use uncleared samples. Neither Organizers nor Dailymotion shall be responsible for any use of uncleared samples.

14. Any breach of the terms and conditions may result in disqualification of the affected Music Video and the disqualification of the Entrant from participation in the contest.

WINNER SELECTION/PRIZE ANNOUNCEMENT

15. Two (2) weeks after the submission deadline, the Organizers will inform the winner which is selected by the Artist. Decisions of the Organizers are final, no substitutions will be available.

 

16. Winners at the age of majority must sign a release form as prepared and accepted within one week of the notification of a winner acknowledging their acceptance and understanding of the complete contest rules. Winners who are under the age of majority in their jurisdiction of residence must have their parent/legal guardian's permission in order to sign a release form.


PRIZE:

17. The winner shall receive One Thousand Dollars ($1000.00).

 

18. The value of the prize may be taxable to the winner as income; the winner will supply Organizers with his or her social security number or other information as reasonably required by the Organizers for any such tax purposes. Upon entry into the Contest, the winner (as well as all other entrants) is required to comply with any and all applicable federal, state, provincial and local laws, rules and regulations in the United States of America and in such part of the Contest territory as may be applicable to the entrant. All federal, state, provincial and local taxes, and any other costs not specifically provided for in these Rules in any part of the Contest territory applicable to the winner are solely the winner’s responsibility.  The Organizers shall have no responsibility or obligation to the winner or potential winner who is unable to accept or utilize the prize as described herein. The winner must also complete any additional legal documents provided by Organizers with respect to the prize and return them as instructed within the time frame specified by Organizers or the winner may forfeit the prize at Organizers’ sole discretion.  In the event the winner has not reached the age of majority in his or her country of residence, the Organizers may require the winner’s parent or legal guardian to execute such documents on behalf of the winner.

 

PRIVACY

 

19. By claiming the prize, the winner authorizes the use, without additional compensation of his or her name and/or likeness and/or voice/photograph and municipality of residence for promotion and/or advertising purposes in any manner and in any medium (including without limitation, radio broadcasts, newspapers and other publications and in television or film releases, slides, videotape, distribution over the internet and picture date storage) which the Organizers and Dailymotion may deem appropriate.

 

 

 

 

 

 

 

 

RIGHTS GRANTED BY THE ENTRANT

 

20. The Entrant grants to the Organizers and Dailymotion the rights and  license to stream, exploit, exhibit, show, market and distribute the Music Video in any platform, for the maximum term of copyright protection, for the entire world and for any direct or indirect use or exploitation, whether commercial, informational or otherwise.

21. The Entrant will not exploit, or allow others to exploit, the Music Videos created by the Entrant without obtaining the prior written approval of the Organizers.

 

LIMITATIONS OF LIABILITY

 

22. Neither the Organizers nor Dailymotion shall be liable for any computer, online, telephone transmission or technical malfunctions that may occur during participation in the contest or any contest-related activity (including, without limitation, the voting phase of the contest), or for theft, destruction or unauthorized access to, or alteration of, Music Videos. The Organizers and Dailymotion assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, email, players or browsers, whether on account of technical problems, traffic congestion on the Internet or at any website, or on account of any combination of the foregoing (including, without limitation, any such problems which may result in the inability to access the Dailymotion’s website or to submit Music Videos in connection with the Contest).

 

TERMINATION

 

23. The Organizers reserve the right to withdraw or terminate this contest at any time without prior notice.

 

GOVERNING LAW

24. The contest is governed by and subject to the laws of the State of California.
